ABOUT US
VCAP1 is an entity established for the specific purpose of investment in the fintech industry. Our largest shareholder is Capitalworks, an independent alternative asset management firm providing investment access and specialist solutions to its clients across a wide range of industries and investment themes in global emerging markets.
Our subsidiaries are SwitchOne (Pty) Ltd, Virtual Payment Solutions (Pty) Ltd, Utilities World (Pty) Ltd and Winciki Investments (Pty) Ltd trading as Prepaid World.
SwitchOne is an entity with an integrated payment technology stack that incorporates a payment gateway and ancillary services that facilitate the distribution of prepaid and post-paid product offerings.
We acquired Virtual Payment Solutions from the Celcom Group, a company with substantial experience in the telecommunications industry. Virtual Payment Solutions specialised in the distribution of SIM cards and the wholesale distribution of pinned airtime. The business has evolved to expand its product offering to e-commerce and terminal distribution for prepaid airtime, prepaid electricity and bill payment.
Utilities World is an industry-leading utility service provider in the Utility Vending Sector. For over a decade, it has provided innovative core vending systems, advanced data reporting and mining solutions, revenue protection and meter audits, and data normalisation.
Prepaid World offers a vertically integrated utility management system for both postpaid and prepaid platforms. The system has been successfully deployed in municipalities and private utilities, including vending capabilities to financial institutions, large retailers as well as stand-alone terminals. The system is both ubiquitous and modular and can be deployed on a Software as a Service (“SaaS”) basis.

Mr Darshan Daya
Chairperson and non-executive director
Darshan Daya co-founded Capitalworks, a leading independent alternative asset manager in Africa with more than US$1 billion in assets under management from a diverse range of domestic and international investors. Darshan has over 20 years of private equity and investment banking experience. He is a fund principal, member of the investment committees on Capitalworks’ private equity funds and serves on the boards of a number of Capitalworks’ portfolio companies. Prior to the formation of Capitalworks, Darshan served as a director of Brait Private Equity.
Mr Herman Kotzé
Non-executive director
Herman Kotzé is a Capitalworks executive and non-executive director on the board of VCAP1. For over 15 years, Herman served as the CEO and previously the CFO of Net1, a Nasdaq-listed diversified payment technology and financial services firm with a focus on emerging markets. As CFO of Net1, he project-managed preparation of the company’s primary listing on Nasdaq, together with Capitalworks’ founders, who were private equity owners of the business prior to their launch of the Capitalworks platform. While at Net1, Herman was responsible for sourcing and executing more than 20 strategic investments worth $1 billion, spanning multiple geographies across Asia, Europe and sub-Saharan Africa, and served as a director of many of these acquired companies. Herman holds a BCompt (Pretoria) BCompt Hons (Pretoria) CA (SA).
Mr Anton Biebuyck
Non-executive director
Anton joined Capitalworks in July 2018. He commenced his career at Bank of America Merrill Lynch and has ten years of corporate finance experience having advised both SA and international clients in mergers and acquisitions and capital markets transactions, including equity capital markets, debt capital markets and loan capital markets. Anton has advised clients across a number of different industries, including financial institutions, metals and mining, retailers, telecommunications and industrials. Anton holds a Bachelor’s degree in Investment Management and a Honours (Cum Laude) in Financial Analysis from the University of Stellenbosch and is a member of the Golden Key Honours Society.
Mr Nanda Pillay

Nanda previously held the position of Head of the Net1 Applied Technologies South African business as well as Managing Director of EasyPay from 2007 to 2021. Nanda was responsible for the development, implementation, and management of group strategy across a multitude of businesses and had a team of c.5,000 employees. Nanda chaired all divisional EXCO meetings and was responsible for investor relations at a US Group level. Nanda has substantial industry experience and holds valuable relationships across the South African payments space. Nanda holds an NDip Business Management from Damelin South Africa.

Stefano Brachini is the CEO and co-founder of the Celcom Group. Stefano co-founded the Celcom Group in 1994, which is a holding company for various companies including: F1 Retail Racing, Celcom (Pty) Ltd and VPS. In 2006, the Celcom Group was listed on the JSE and subsequently delisted in 2009. Stefano holds an MBA from the Wits Business School.
